Carifu Technologies LLC
Version 1.0 · Effective date: September 1, 2026 · Last updated: September 1, 2026
Canonical route: /legal/mechanic-agreement
This Mechanic Agreement (this “Agreement”) is between Carifu Technologies LLC (“Carifu,” “we,” “us,” or “our”) and the automotive service provider that registers or claims a profile on the Platform (“Mechanic,” “you”). It supplements and is incorporated into the Terms of Service. Capitalized terms have the meanings given in the Terms of Service. By registering, purchasing a Subscription, or offering Automotive Services through the Platform, you agree to this Agreement.
1. Independent-Business Status
You are an independent business. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship between you and Carifu. You control the means, methods, pricing, personnel, scheduling, tools, and performance of your Automotive Services. You are solely responsible for your employees, technicians, and subcontractors.
2. Authority to Bind Your Business
You represent that you are authorized to enter into this Agreement on behalf of your business, that the information you provide is accurate, and that you will keep it current.
3. Licensing, Permits, Taxes, Insurance, and Compliance
You are solely responsible for obtaining and maintaining all licenses, permits, and registrations required to perform Automotive Services; for your own taxes; for any insurance appropriate to your business; and for complying with all laws applicable to your business and services, including consumer-protection, environmental, safety, and labor laws. Subscription fees do not include applicable taxes. Carifu uses Stripe, its payment processor, to calculate and collect applicable taxes on Carifu’s Subscription charges at checkout. Carifu remains responsible for filing and remitting taxes legally imposed on Carifu. Mechanics are responsible for taxes arising from their own businesses and Automotive Services, excluding taxes imposed on Carifu’s net income and other taxes for which Carifu is legally responsible.
You may enter a state sales-tax rate in your Mechanic profile for the Platform to use when calculating estimated tax on your Quotes and invoices. You are solely responsible for determining whether tax applies, selecting the correct jurisdiction, rate, sourcing method, taxable amount, exemptions, rounding method, and effective date, and keeping the rate current. Carifu does not monitor, verify, select, or guarantee the rate or resulting calculation. Platform calculations are tools only and do not constitute tax advice, tax filing, collection, or remittance by Carifu for your Automotive Services.
4. Profile Accuracy
You are responsible for the accuracy of your business profile, service listings, business hours, photographs, certifications, and personnel information, and for the accuracy of any statement that you are a repair shop, mobile mechanic, or towing provider. You may not misrepresent your identity, credentials, or affiliation.
5. Quotes and Customer Authorization
You are responsible for preparing accurate Quotes, for obtaining Customer authorization before performing or exceeding work, and for providing any written estimate or authorization required by law. A Quote is your offer to the Customer.
A Carifu Quote or Booking is a Platform record and does not replace any written estimate, repair order, inspection disclosure, customer authorization, warranty, invoice, or other documentation that you must provide under applicable law. You must provide legally required estimates and disclosures, obtain Customer authorization before starting or expanding work, obtain Customer approval for material changes in scope or price, and comply with applicable repair-shop and consumer-protection laws.
6. Inspections and Revised Quotes
You may request an inspection appointment and may revise a Quote. A revised Quote takes effect only if the Customer approves it.
7. Bookings and Customer Reapproval
You may create and modify Bookings, and you may create invoices showing the services the Customer accepted. Any modification to a Booking takes effect only if the Customer approves it. If you enable or schedule a service reminder, you are responsible for the accuracy of its date, mileage, service description, recipient, and other content. A service reminder is informational and is not a diagnosis, warranty, recall notice, or guarantee that service is due.
8. Automotive-Service Responsibility
You are solely responsible for performing Automotive Services competently, safely, and lawfully, for sourcing parts, and for honoring any warranty you offer. The Transaction is between you and the Customer. Carifu is not a party to it and is not responsible for it.
9. Customer Data and Communications
You will use Customer information only to provide Automotive Services and to communicate about a Transaction, including through permitted in-app messages, Support Tickets, and service reminders, in compliance with the Privacy and Cookie Policy, the SMS and Communications Policy, and applicable law. You will not use the Platform to send unlawful, harassing, retaliatory, or unconsented messages or to solicit Users to transact off-Platform in a way that circumvents Carifu.
10. Reviews and Promotions
Customers may review your Automotive Services under the Platform Rules. You cannot respond publicly in the review section or remove or edit a Customer’s review. You may send the Customer a private in-app message, but you may not harass, threaten, pressure, offer an improper incentive, or retaliate because of a review. You may not post fake or improperly incentivized reviews.
If you submit a Mechanic Testimonial about Carifu or the Platform, Carifu must review and affirmatively approve it before public display. You must ensure it is truthful, based on your genuine experience, not misleading, and updated or withdrawn if it becomes materially inaccurate. Carifu may request substantiation, edit for length or clarity without materially changing the meaning, clearly disclose material incentives or relationships where required, and reject, suspend, or remove any testimonial. Carifu will not fabricate a testimonial, materially change its meaning, or condition compensation or an incentive on expressing a positive or negative sentiment.
Promotions you create are your offers to Customers, and you are solely responsible for their accuracy, funding, legality, and for honoring them. Carifu-issued Subscription Coupons are governed by the Subscription and Refund Terms and do not change your obligations to Customers. If you purchase or use a Profile Boost, Banner Advertisement, sponsored placement, or another Advertising Service, you must comply with the Platform Rules and the Subscription and Refund Terms, including the advertising-content, labeling, billing, and no-guarantee provisions.
11. Verification Obligations
If you seek or display the “Verified” designation, you must complete verification and comply with the Verification Terms and Disclaimer, including submitting the documentation Carifu requires. You must promptly provide updated documentation when your documents expire, your business ownership changes, your licensing or business information changes, or when Carifu reasonably requests it. Verification means only that you submitted documentation that Carifu reviewed against its eligibility criteria at a particular point in time; it is not a guarantee of your work.
12. Subscription Obligations
Access to Mechanic features requires a paid Subscription. Fees, automatic renewal, cancellation, and refunds are governed by the Subscription and Refund Terms. You authorize Carifu and its payment processor to charge your payment method for all applicable fees. Carifu does not guarantee any quote requests, Bookings, customers, revenue, or business results.
13. Suspension and Termination
You may cancel your Subscription as described in the Subscription and Refund Terms. Carifu may suspend or terminate your account, remove Content, or revoke the “Verified” designation if you breach this Agreement or an incorporated policy, if your documentation is inaccurate or expired, if you lose eligibility, or where otherwise permitted by law. Accrued fees remain payable. Sections 1, 3, 8, 14, and 15 survive termination.
14. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Carifu and its officers, members, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to your Automotive Services, your Content, your promotions or advertising, your use of Customer data, your breach of this Agreement or law, or any Transaction.
15. Liability, Governing Law, and Disputes
The disclaimers and the limitation of liability in Sections 14 and 15 of the Terms of Service apply to this Agreement, recognizing that you are a commercial user of the Platform. As between you and Carifu, you bear all risk arising from your Automotive Services and your dealings with Customers. This Agreement is governed by Arizona law and is subject to the dispute-resolution, arbitration, and class-action-waiver provisions in Section 16 of the Terms of Service, which apply only to the extent permitted by law.
16. Out-of-Market Access, Profile Claims, and Preloaded Profiles
In a Prelaunch or Inactive Market, Carifu may allow you to create a limited Prelaunch Account, request launch in your area, claim a Preloaded Profile, submit preliminary ownership information, and receive launch notifications. A Prelaunch Market is designated for launch preparation or evaluation; an Inactive Market has no current activation designation or promised launch schedule. Account creation, a profile claim, or a launch request does not change Market Status. Until Carifu activates your market, you may not receive or send active Quotes, create Bookings, purchase an active paid Subscription, create active promotions, display an active “Verified” designation, or represent that Carifu is operational or scheduled to launch in your market. Availability and Market Status are described in Section 4 of the Terms of Service.
Carifu may create a Preloaded Profile for your business using public or properly licensed third-party information. A Preloaded Profile is labeled “Unclaimed” until it is claimed. Information on an Unclaimed Profile cannot currently be edited or corrected while the profile remains unclaimed; a business may request removal or suppression or complete the profile-claim process to manage its information. Claiming a Preloaded Profile confirms only that Carifu approved your authority to manage that profile. Profile ownership approval is separate from full mechanic verification, “Verified” status, Subscription activation, marketplace activation in your city, and authorization to receive Quotes or Bookings. Profile status follows this sequence: Unclaimed; Claim Pending; Claimed — Not Verified; Verification in Progress; and Verified, which is available only after verification and activation in an Active Market. See the Verification Terms and Disclaimer.
